  16. that the following is a true copy of resolutions adopted by the 
  17. Board of Directors of this corporation at a meeting held on 
  18. proper notice, a quorum being present, on @100, and that such 
  19. resolutions are now in full force and effect.

  23. this corporation; and

  26. Further resolved, that all drafts, checks, and other instruments 
  27. or orders for the payment of money drawn against the account or

  40. corporation by rubber stamp, facsimile, mechanical, manual or 
  41. other signature (and any such endorsement by whomever affixed

  43. endorsed, or un-endorsed, provided that if any such draft, check 
  44. or other property shall bear, or be accompanied by, directions 
  45. (by whomever made) for deposit to a specific account then such 
  46. deposit shall be to the credit of such specific account; and

  49. Further resolved, that such depository is directed to accept, 
  50. and/or pay and/or apply any draft, check, instrument or order for 
  51. the payment of money, or any proceeds thereof, drawn on such 
  52. account or accounts when signed as required by these resolutions 
  53. without limits as to amount, without inquiry, and without regard 
  54. to the disposition of any such item or proceeds thereof, and such 
  55. depository shall not be liable in connect therewith 
  56. notwithstanding that such item may be payable to the order of a 
  57. person whose signature appears thereon or of any other officer or 
  58. officers, agent or agents of this corporation, or such item or 
  59. any proceeds thereof may be used for the personal credit or 
  60. account of any such person or person with the depository or used 
  61. in payment of the individual obligation of any such person or 
  62. persons to the depository or otherwise.
